The rules for using Elligent.

These Terms describe your rights and responsibilities when you use Elligent’s websites, creator intelligence application, and related services.

Effective August 25, 2026

Please read before using the Service

By creating an account, accepting an invitation, connecting a channel, purchasing a plan, or otherwise using Elligent, you agree to these Terms and acknowledge the Privacy Policy. If you use Elligent for an organization, you confirm that you can bind that organization.

1. Agreement and eligibility

The contracting entity is Elligent LLC, a Pennsylvania limited liability company. These Terms of Service (the Terms) are an agreement between you and Elligent LLC governing the Service. The Privacy Policy explains how we handle information and is incorporated by reference where permitted by law.

You must be at least 13 years old and old enough to form a binding contract where you live. If you are under the age of legal majority, a parent or legal guardian must authorize your use. You may not use the Service if law bars you from receiving it.

If you use the Service for a company, agency, client, or other organization, “you” includes that organization and you represent that you have authority to accept these Terms for it.

2. The Service

Elligent watches channels you select, identifies videos that outperform the audience snapshot that published them, explains available evidence, and helps turn that evidence into original, source-linked ideas. Features may include public and connected YouTube research, transcripts, AI-assisted analysis and generation, scoring, collaboration, notifications, referrals, and billing.

We may improve, add, remove, limit, or discontinue features. We will provide reasonable notice when a material change adversely affects a paid Service, when practical. Some features are previews, depend on third-party APIs, or are available only on certain plans.

Elligent is a research and workflow tool. It does not guarantee views, subscribers, revenue, virality, ranking, sponsorships, or any other performance outcome.

3. Accounts, Workspaces, and Brand Identities

Provide accurate information, maintain one account per person unless we approve otherwise, keep credentials confidential, and promptly report suspected unauthorized access. You are responsible for activity under your credentials unless caused by Elligent’s breach of these Terms or applicable law.

A Workspace is the membership and billing container. Brand Identities organize separate creator, client, show, or research contexts inside it. Workspace owners and administrators can invite or remove members, assign roles, manage shared settings, and access Workspace data according to their permissions. If you join someone else’s Workspace, that owner controls the Workspace and may remove your access.

You must have authority to invite people, connect channels, share authorized analytics, and process content for each Workspace and Brand Identity. Do not use roles or invitations to expose another person’s private information without permission.

4. YouTube and other third-party services

Elligent uses YouTube API Services. By using features that interact with YouTube, you agree to be bound by the YouTube Terms of Service. Your use of Google APIs is also subject to applicable Google terms and the Google Privacy Policy. You can revoke Elligent’s YouTube authorization from the Google security permissions page or disconnect through Elligent.

You may connect only a channel you are authorized to manage and may share its authorized analytics only with people entitled to see them. Elligent does not grant rights to YouTube content, Google API data, thumbnails, trademarks, or channels. You must follow platform rules and content restrictions, including prohibitions on scraping, unauthorized downloads, credential sharing, and circumvention.

Stripe, OpenAI, Resend, Plausible, ChatGPT, Claude, Gemini, and other external services have their own terms and privacy practices. We are not responsible for an external service’s independent operation, content, availability, or changes. “Continue in AI” does not send data automatically; you choose whether to transfer the prepared context to another provider.

5. Your content and permissions

As between you and Elligent, you retain the rights you hold in the prompts, generation guides, notes, original ideas, and other content you submit to the Service (Your Content). Public or third-party source content remains subject to the rights of its owner and platform terms.

You grant Elligent a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, and create technical or analytical derivatives of Your Content only as needed to operate, secure, support, and improve the Service, comply with your instructions, and meet legal obligations. This license ends when the content is deleted, except for retained backups, transaction or compliance records, and content that remains in another owner’s shared Workspace.

You represent that you have all rights, notices, permissions, and lawful bases needed for Your Content and our processing of it. Do not submit confidential information belonging to someone else, personal data you cannot lawfully process, or content that infringes intellectual-property, privacy, publicity, contractual, or other rights.

You may use output generated for you subject to these Terms, applicable law, and third-party rights. AI output may not be unique; other users may receive similar output, and Elligent does not assign or warrant exclusive rights in output.

6. AI output and evidence

AI-generated summaries, breakdowns, hypotheses, titles, ideas, scores, and explanations are probabilistic. They can be inaccurate, incomplete, outdated, biased, or unsupported. A score is an explainable prioritization aid, not a prediction or guarantee. A performance ratio shows observed evidence; it does not prove why a person clicked, watched, or subscribed.

Review source material and output before relying on it. You are responsible for editorial judgment, fact-checking, rights clearance, disclosures, and anything you publish or send. Do not use Elligent as a substitute for legal, financial, medical, safety, or other professional advice, or to make high-impact decisions about a person.

7. Acceptable use

You may not use the Service to:

  • break the law or violate another person’s rights;
  • harass, exploit, surveil, discriminate against, impersonate, or endanger a person;
  • collect or infer sensitive personal information without lawful authority and informed consent;
  • upload malware, probe or disrupt security, access another account, or bypass permissions, quotas, plan limits, or provider controls;
  • scrape YouTube or Google, download content without authorization, misuse API data, or violate a connected provider’s terms;
  • reverse engineer or copy non-public parts of the Service except where law gives a non-waivable right;
  • resell or provide access to the Service outside the Workspace and plan model without our written permission;
  • generate spam, deceptive marketing, unlawful content, or content designed to manipulate or mislead; or
  • interfere with another user or the normal operation of Elligent.

We may investigate suspected abuse and limit, suspend, or terminate access when reasonably necessary to protect users, providers, the Service, or the public.

8. Plans, billing, and credits

Current plans, prices, billing intervals, included usage, Brand Identity, channel, member, transcript-minute, and idea limits are shown at purchase or in the Service. Usage is measured by Elligent’s server-side records. Plan limits and feature availability may change; price changes apply prospectively after any notice required by law.

Paid subscriptions are processed by Stripe and renew automatically at the selected interval until canceled. You authorize Stripe and Elligent to charge the applicable fees and taxes. You can cancel or manage a subscription through the Stripe-hosted billing portal; cancellation normally takes effect at the end of the current paid period unless stated otherwise. Fees are non-refundable except as required by law or expressly stated at purchase.

Included monthly usage resets with the applicable billing period and does not roll over unless stated. Purchased usage or idea credits follow the terms shown at purchase; current paid analysis-minute packs include non-expiring idea credits. Credits have no cash value, are not transferable, and cannot be used after account deletion.

Referral participation, commissions, and payouts are governed by the active referral program and any agreement presented to the participant. Eligibility and payment can be delayed, voided, or reversed for cancellations, refunds, disputes, fraud, policy violations, or unresolved Stripe state.

9. Elligent property and feedback

Elligent and its licensors own the Service, software, design, documentation, trademarks, and other materials we provide, excluding Your Content and third-party content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your account term.

If you voluntarily provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation, without identifying you publicly unless you consent.

10. Suspension, cancellation, and deletion

You may stop using Elligent at any time, cancel a paid plan, leave a shared Workspace, disconnect YouTube, and use the available deletion controls. Workspace owners can delete an eligible owned Workspace. Eligible users can delete their Elligent account after exact confirmation and required provider cleanup.

Deletion may be delayed or blocked while processing is active or a subscription, checkout, refund, dispute, referral, payout, Stripe Connect balance, administrator, legal-retention, or other financial obligation remains. Account deletion does not delete content held by YouTube or another external service. Content and records may remain to the limited extent described in the Privacy Policy.

We may suspend or terminate access for material or repeated breach, fraud, nonpayment, security risk, unlawful use, provider requirement, or risk of harm. Where appropriate, we will provide notice and an opportunity to cure. Sections that by their nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, indemnity, and general terms—will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ELLIGENT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE.

We do not warrant third-party services, API data, AI output, transcripts, analytics, or creator outcomes. Some jurisdictions do not allow certain disclaimers, so some of this section may not apply to you.

12. Limitation of liability and indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELLIGENT AND ITS AFFILIATES, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE.

To the maximum extent permitted by law, Elligent’s total liability for all claims relating to the Service will not exceed the greater of US$100 or the amount you paid Elligent for the Service during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.

To the extent permitted by law, you will defend, indemnify, and hold harmless Elligent and its affiliates and personnel from third-party claims, losses, and reasonable costs arising from Your Content, your violation of these Terms, your infringement of another person’s rights, or your unlawful use of the Service. This obligation does not apply to the extent a claim results from Elligent’s own wrongful conduct.

13. General terms

These Terms and incorporated policies are the entire agreement about the Service and replace prior discussions on that subject. If one provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, merger, acquisition, or asset transfer.

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise. Any dispute that may be brought in court will be brought in a state or federal court of competent jurisdiction in Pennsylvania, unless applicable law permits or requires a different forum. Nothing here prevents either party from seeking urgent equitable relief or using a small-claims process where available.

We may update these Terms. We will post the new version and effective date and provide additional notice when a material change requires it. Continuing to use the Service after an update takes effect means you accept the revised Terms, except where law requires express consent.
